Hand over the name reservation and the rest of the registration
Name reservation, memorandum and articles and the certificate of incorporation, taken through the CAC for you.
Register my companyYou picked the name weeks ago. It is on the logo draft, it is the Instagram handle, your family already calls the business by it. Then the CAC portal comes back with a short message saying the name is not available, and everything stops.
It is one of the most common hold-ups in registering a business in Nigeria, and almost always one of a handful of predictable reasons. Once you know what the CAC is checking for, you can choose a name that sails through, and stop losing days to back and forth.
The short answer
The CAC refuses a proposed name when it is identical or too close to a name already registered, when it uses a restricted word without the relevant regulator's consent, when it suggests a government connection, or when it is offensive or misleading. Adding words like "Global", "Nigeria" or "Ventures" to an existing name does not make it different. Choose something distinctive, search the register before you submit, and get any consent you need first.
What the CAC is actually checking
When you apply to reserve a name, the CAC is asking two questions. Is it available, meaning nobody already has it or something close to it? And is it permitted, meaning there is nothing in the name the law or the CAC's rules do not allow?
A refusal is an answer of no to one of those questions. The message on the portal usually says which, and it is worth reading carefully, because the fix is different for each.
Reason one: it is too close to a name that exists
This is the most common refusal by a distance. The CAC will not register a name that is the same as, or too similar to, a company or business name already on the register, because two businesses trading under nearly identical names is how the public gets misled.
What catches people out is how little the CAC treats as a difference.
Illustration. Every name here is invented.
Adding a geographic word ("Nigeria", "Lagos", "Africa"), a generic descriptor ("Global", "International", "Ventures", "Enterprises", "Services"), or punctuation, a hyphen, or a plural does not make a name distinct from one that already exists. If Brightpath Logistics Ltd is on the register, Brightpath Logistics Global Ltd is not a new name. It is the same name with a word bolted on.
The only reliable fix is a genuinely different core word. If the name you love is taken, it is taken, and the time to accept that is before you print anything.
Reason two: a restricted word, without consent
Some words describe activities that are licensed in Nigeria, and the CAC will not let a company use them unless the relevant regulator has agreed. The logic is simple: a company called something Microfinance Ltd tells the public it is a licensed lender, so it had better be one.
A starting point, not the whole list. The CAC applies its own list of sensitive words.
If your business genuinely is in one of these sectors, the order of events matters. You get the regulator's consent, or at least its approval in principle, and then reserve the name with that consent in hand. Applying for the name first and hoping is how you end up with a refusal and a delay.
If your business is not in one of these sectors, the answer is simpler: do not use the word. Calling a savings app Something Bank Ltd is not going to get through, whatever the product actually does.
Reason three: it suggests an official connection
Words like "Federal", "National", "State" or "Government" imply that a business has official backing or is part of the state. The CAC treats these as sensitive and they are generally refused for ordinary private businesses. The same goes for names that imply a link to a public body or a recognised institution when there is none.
Name rejected? Ask what the CAC is likely to object to
Share the names you have in mind and LegalDoc+ flags the problems examiners tend to raise.
Ask about my nameNames using a well-known person's name without their consent, or a name that is offensive or deliberately misleading, are refused for the same underlying reason. The register is public, and the CAC is not going to let it be used to mislead.
Reason four: it is too generic
A name made of nothing but ordinary descriptive words, something like Food Services Ltd, is difficult to approve because it does not identify any business in particular. Even where it does go through, it gives you very little you could ever protect.
The strongest business names are distinctive: a coined word, a family name, a word from your own language, or an unusual combination. They are easier to reserve, easier to trademark, and easier for customers to find.
Before you submit: a simple routine
Two checks before you pay anything.
- Search the register yourself. Use the CAC's public search and look for anything close, not just identical. Try the core word on its own.
- Have two or three options ready. The portal lets you propose alternatives. Use them, and make each one genuinely different rather than variations on the same word.
- Strip out the restricted words. Unless you have the regulator's consent and the licence to go with it.
- Check the trademark side too. The CAC checks its own register of company and business names. It does not stop you choosing a name that somebody else has registered as a trademark, and using that name could expose you to an infringement claim even after the CAC approves it.
Once the name is approved
An approved name is reserved for a limited period, currently sixty days, during which you complete the registration. If you let that window pass, the reservation lapses and somebody else can take the name.
So reserve the name when you are actually ready to register, with your directors' and shareholders' details to hand, rather than months in advance. And once the company exists, remember that the CAC registration protects the company name on the register. It does not protect your brand in the market. That is a trademark's job, and we explain why in trademark your business name before someone else does.
If you think the refusal is wrong
Occasionally a refusal is a mistake, or the similar name it was matched against belongs to a company that has been struck off, or one you yourself own. In those cases it is worth responding to the CAC's query with the explanation and any supporting documents.
But be realistic. In most cases the fastest route is a different name, not an argument about the one you wanted. Days spent contesting a refusal are days the business is not registered.
Frequently Asked Questions About CAC Name Rejections
Why was my company name rejected by the CAC? Usually because it is identical or too similar to a name already registered, uses a restricted word like bank or insurance without consent, suggests an official connection, or is too generic. The portal message normally indicates which.
Can I add "Nigeria" or "Global" to make a name available? No. Adding a place, a generic descriptor like Global or Ventures, punctuation or a plural does not make a name distinct from one that already exists.
How long does a CAC name reservation last? A reserved name is held for sixty days. Complete the registration within that window, or the reservation lapses and the name becomes available to anybody.
Can I use the word "bank" or "insurance" in my business name? Only with the consent of the relevant regulator, the Central Bank for banking and microfinance or NAICOM for insurance, and only if the business is actually licensed to do that work.
Does CAC approval mean nobody else can use my business name? No. It means nobody else can register a company or business name too close to yours. It does not stop somebody trading under your brand or registering it as a trademark. Only a trademark registration does that.
Where this leaves you
Most name refusals are avoidable with ten minutes of searching and a little honesty about how distinctive the name really is. Pick something that is clearly yours, search before you submit, and keep a second and third option ready.
If you would rather not deal with the back and forth at all, we handle CAC registration end to end, including the name.
