Business Name

A business name is a trading name registered at the CAC by a sole proprietor or a partnership. It makes the name officially yours, but it does not create a separate legal entity, so the owner stays personally liable.

What business name means

A business name is your trading identity, registered so nobody else in Nigeria can register the same one.

What it is not is a company. This is the single most misunderstood point in Nigerian business registration. When you register a business name, no new legal person comes into existence. There is still just you, trading under a name that is not your own.

That distinction sounds academic until something goes wrong. Then it becomes the difference between a creditor taking the business assets and a creditor taking your car.

How it is used

It is the entry point for most small Nigerian businesses. A shop, a salon, a small logistics outfit, a one person consultancy. You register the name, you get a certificate, and with that certificate you can open a corporate bank account in the business name, print branded receipts and bid for small contracts.

Banks generally accept a registered business name for account opening, which is usually the immediate reason people register at all. Anything more serious, such as investors, large tenders or limited liability, pushes you toward incorporation.

How this works in Nigeria

Business name registration is the format covered by the CAC and SMEDAN free registration drive, which set out to formalise 250,000 previously unregistered micro businesses. Limited liability companies and incorporated trustees were never part of that scheme.

Many owners eventually outgrow the format. The trigger is usually one of three things: a client who will only contract with a limited company, an investor who wants shares, or a moment where personal liability suddenly stops being theoretical.

Business name vs limited liability company

A business name is a label. A limited liability company is a separate legal person that owns its own assets and owes its own debts.

With a business name, if the business is sued or cannot pay, your personal assets are exposed. With a company, liability is generally limited to what you put in, and the company continues even if ownership changes.

Registration cost and effort favour the business name. Almost everything else, including credibility, continuity, raising money and protecting what you own personally, favours the company. If you are taking on real contracts or real risk, the company is worth the extra outlay.

Limits and risks

It gives you no limited liability, no perpetual succession, and no way to bring in shareholders. It also dies with the owner in the sense that it has no existence separate from them.

And registering a business name is not the same as protecting a brand. Only a trademark stops a competitor in a different state using a confusingly similar name on their signage.

Worth knowing

A registered business name protects the name at the CAC register. It does not stop somebody trademarking a similar brand and coming after you. Those are two different registries doing two different jobs.
