What certificate of incorporation means

A certificate of incorporation is the company's birth certificate.

It is issued by the Corporate Affairs Commission at the moment registration is approved, and it records three things: the name of the company, the registration number, and the date it came into existence. From that date the company is a legal person in its own right.

That is the whole legal weight of it. The certificate does not describe what the business does, who owns it, or how much it is worth. It says this entity exists, it has this name, and it has existed since this date. Everything else lives in other documents.

Nigerians often call it the CAC certificate, and the number on it, beginning with RC for a company or BN for a business name, is what people mean when they ask for your RC number.

How it is used

You will be asked for it constantly, and usually by people who will not proceed without it.

A bank opening a corporate account wants it. A corporate client onboarding you as a vendor wants it, along with your tax clearance. A government tender wants it. A landlord letting commercial premises to a company wants it. An investor doing due diligence starts with it.

In practice you will be sending a scanned copy far more often than you handle the original. Since the CAC moved to electronic issuance, most newer companies never receive a printed certificate at all, and the downloadable version carrying the CAC seal is what everybody accepts.

Keep it with the memorandum and articles, the status report and the tax registration in one folder. Those four documents together answer almost every question anyone will ask about your company.

How this works in Nigeria

Since the CAC's registration portal moved fully online, certificates are downloaded rather than collected. There is no longer a wait for a printed document, and the electronic certificate carrying the CAC seal is what banks and agencies accept.

A replacement is available through the same portal where a certificate is lost, along with a certified true copy where an institution insists on one. The company must be in good standing for that to go through, which in practice means the annual returns have to be up to date first.

One thing that surprises founders is that a name change or an increase in share capital does not produce a fresh certificate. The original stands, and the change is evidenced by a separate certificate of change of name or by the updated status report.

Certificate of incorporation vs status report

These two get confused constantly, and the difference matters when somebody asks you for the wrong one.

The certificate of incorporation is fixed. It proves the company exists and never changes, no matter what happens to the business afterwards.

The status report is the living document. It lists the current directors, shareholders, share capital, registered address and objects, and it is regenerated from the CAC records whenever you request it. That is the document a bank or an investor actually needs when they want to know who runs the company today.

So if someone asks for proof of ownership or proof of directorship, they need the status report. The certificate alone will not tell them.

Limits and risks

A certificate proves existence and nothing more.

It does not prove the company is trading, solvent, tax compliant or in good standing with the CAC. A company that has not filed annual returns for six years still holds a valid looking certificate right up until it is struck off the register.

It also proves nothing about ownership. People occasionally treat possession of the certificate as if it were possession of the company, which it is not. Ownership sits in the register of members and is reflected in the status report, and holding the paper gives you no rights at all if your name is not there.

Worth knowing

Check the RC number on any certificate you are handed before you pay anybody anything. A CAC public search takes two minutes and will tell you whether the company exists, what its real name is and whether it is active. Forged certificates circulate, and the search is free.
