What registered office means
A registered office is where the law can find your company.
It is the address filed at the CAC, published on the company's records, and it is the place at which legal documents can be served on the company. A writ delivered there is served, whether or not anybody at the company saw it.
It must be a physical address in Nigeria. A post office box is not a registered office, because documents have to be capable of being delivered to a place.
It need not be where the business trades. A company can operate from three locations and have its registered office at a fourth, and many use their accountant's or lawyer's address. What matters is that it is real, that it is in Nigeria, and that somebody there will actually pass on what arrives.
How it is used
The address is supplied on incorporation and appears on the company's status report at the CAC.
It is used for service of court process, for correspondence from the CAC including notices about annual returns, for correspondence from the tax authorities, and for statutory notices from regulators.
Companies are also expected to display their name at the registered office and to include the registered office details on business correspondence.
Changing it requires a filing at the CAC. The company passes the necessary resolution, files the notice of change of registered address, and the record is updated. Until that filing is made, the old address remains the official one, which means documents served there are validly served.
Certain statutory registers and records are expected to be kept at the registered office or at another place notified to the CAC, which is one reason a company should know where its own records physically are.

How this works in Nigeria
The recurring Nigerian problem is the address nobody monitors.
Companies register using a lawyer's office, a serviced office, a relative's house or a location they left three years ago. CAC notices about outstanding annual returns arrive there. Tax correspondence arrives there. Court process arrives there. The company knows nothing about any of it until something has already gone wrong.
That is a genuine risk rather than an inconvenience. Service at the registered office is effective service, so a default judgment can be entered against a company that never saw the writ.
The second issue is the address that no longer exists. Companies move and do not file the change, which leaves the CAC record wrong. Banks conducting KYC, and clients conducting due diligence, compare the address on the status report with what the company tells them, and a mismatch delays account opening and onboarding.
Virtual and serviced offices are lawful and widely used. What makes them workable is a provider who actually forwards mail promptly and tells you when something official arrives, so the arrangement should be chosen on that basis rather than on price alone.
Registered office vs business address vs branch
Three addresses a company may have, doing different jobs.
The registered office is the legal address. It is filed at the CAC, it is where documents are validly served, and there is only one.
The business or trading address is where the company actually works. There can be several, they are not filed at the CAC in the same way, and serving documents there is not the same as serving the registered office.
A branch is an operating location of the same company in another place. It is not a separate legal entity, so its liabilities are the company's, and it does not have its own registered office.
The practical point is that changing where you trade does not change your registered office. That requires a separate filing, and companies that move premises and forget it end up with official correspondence going to an address they no longer occupy.
Limits and risks
A registered office does not confer any right to use the premises. It is an address on a register, and a company whose provider ends the arrangement must file a change promptly.
Using a third party address also depends entirely on that party. A lawyer who retires, a serviced office that closes, or a relative who moves leaves the company with an address that no longer works and official documents going nowhere.
The address is public, which is a consideration for a business run from a home. Anybody searching the company at the CAC sees it.
And it does not protect against service. A company cannot argue that it did not receive a document served at its own registered office, which is exactly why the address must be one somebody monitors.
