Arbitral Award

An arbitral award is the tribunal's decision. It is final and binding, the grounds for challenging it are narrow, and it enforces across borders more easily than a court judgment.

What arbitral award means

An arbitral award is the decision of an arbitral tribunal, resolving the dispute the parties referred to it.

The defining feature is finality. Unlike a first instance court judgment, an award is not subject to appeal on the merits. A party who thinks the tribunal reached the wrong conclusion on the facts or the law generally has no route to argue that, and this is the trade off the parties accepted when they chose arbitration.

What is available is a narrow challenge, on grounds that go to the integrity of the process rather than to the correctness of the outcome.

An award must comply with formal requirements: in writing, signed, stating reasons unless the parties agreed otherwise, and stating the date and the seat.

Once made, it binds the parties. To be enforced against assets, it must be recognised by a court, which is a separate step and a straightforward one where nothing is wrong.

How it is used

Enforcement is the point of the exercise, and it runs in two stages.

Recognition. The successful party applies to court for leave to enforce the award as a judgment, producing the award and the arbitration agreement.

Enforcement. Once leave is granted, the award is enforced through the ordinary machinery: garnishee proceedings against bank accounts, a writ of execution against assets, and the other routes available for a judgment.

The losing party's options are limited. They can apply to set the award aside, on grounds concerning incapacity of a party, invalidity of the arbitration agreement, lack of proper notice or inability to present a case, the tribunal exceeding the scope of what was referred, improper composition or procedure, the subject matter not being capable of settlement by arbitration, or the award conflicting with public policy.

Each of those goes to process rather than merits. A party who simply lost has no ground.

Time limits apply to applications to set aside, and they are short, so a party intending to challenge should act immediately rather than waiting for enforcement.

How this works in Nigeria

The Arbitration and Mediation Act 2023 replaced the earlier legislation and modernised the framework, including provisions on interim measures, expedited procedures, third party funding and the enforcement of mediated settlements.

The practical significance for Nigerian business is the cross border position. Nigeria is a party to the New York Convention, and foreign arbitral awards are recognised and enforced subject to narrow grounds of refusal.

That is materially better than the position for foreign court judgments, which must be registered under the reciprocal framework where it applies or sued upon at common law, with more scope for resistance and a legislative position that has generated substantial litigation.

The drafting consequence is direct and it is the most useful thing to know about Nigerian dispute resolution. Where a foreign party contracts with a Nigerian counterparty whose assets are in Nigeria, an arbitration clause produces an outcome that is easier to enforce here than a foreign judgment would be.

The clause has to be drafted properly to deliver that. It should state the seat, which determines the supervising court, the rules, the number of arbitrators, how they are appointed, and the language. A clause that names arbitration and nothing else produces a dispute about the dispute.

Domestically, Nigerian courts have generally supported arbitration and applied the narrow challenge grounds as intended, though set aside applications are used tactically and can add delay.

Arbitral award vs court judgment vs settlement agreement

An arbitral award is final on the merits, challengeable only on narrow process grounds, and requires leave of court to be enforced. Across borders it travels well under the New York Convention.

A court judgment can be appealed on the merits, which means finality takes longer. Domestically it is enforced directly. Across borders it must be registered or sued upon in the receiving country, with more scope for resistance.

A settlement agreement is a contract. Breach means suing on the contract, which is a fresh action, unless the terms were entered as a consent judgment or, where a mediated settlement qualifies under the Arbitration and Mediation Act, given enforceable effect.

For a cross border contract with a Nigerian counterparty, the ranking on enforceability is clear: an arbitral award first, a consent judgment second, a foreign judgment third.

Limits and risks

There is no appeal on the merits, so a tribunal that gets the law wrong generally cannot be corrected.

Arbitration is also expensive. The parties pay the tribunal and the institution, which makes it disproportionate for smaller disputes.

Set aside applications, though narrow in principle, are used tactically and can add months to enforcement.

An award is also only as valuable as the assets available. Recognition against a respondent with nothing in Nigeria achieves little.

And arbitration cannot cover matters reserved to particular courts. Employment disputes fall within the exclusive jurisdiction of the National Industrial Court, and certain other subject matter is not arbitrable.

Worth knowing

Draft the arbitration clause with a seat, rules, number of arbitrators and language. A clause that says disputes shall be settled by arbitration and nothing else produces a preliminary fight about how to arbitrate, which is exactly the delay arbitration was chosen to avoid.
